On 15 October 2026, the Court of Justice of the European Union (CJEU) delivered its judgment in NEO GROUP (C-203/25) on the general anti-abuse rule of the Parent-Subsidiary Directive. The CJEU confirmed that a Member State may deny the dividend withholding tax exemption even where the EU parent carries on a genuine economic activity and is not a conduit, if the parent participates in a chain of transactions (all or some of which are not genuine) through which the dividends ultimately reach the person controlling the group. Our latest alert covers the key findings and why groups should revisit their holding structures, dividend repatriation planning and beneficial ownership documentation, including for open years. Alvarez & Marsal (A&M) Global Transaction Advisory Group (Global TAG) Practice Leader Paul Aversano recently spoke with CNBC about the growing pressures facing Japan's century-old companies. Many of these businesses are now navigating a more complex operating environment marked by rising costs, workforce constraints and limited succession options – leading owners and boards to reevaluate their strategic direction. Paul shared how these pressures, combined with changing expectations around governance and growth, are influencing decisions about strategy and ownership across the Japanese market. The packaging market has moved past its consolidation phase and into a sorting phase, where scale alone no longer sets valuation. Buyers are now reserving full pricing for businesses with a clear growth story, shifting value to what gets sold, and putting divestiture and separation at the center of FY2027 planning across the sector. The harder constraint is now timing. The windows to sell well are already fixed by two key dates that exist today in cost program disclosures and covenant step-downs. Each of those windows runs on its own schedule, and together they determine which assets can move cleanly in 2027 and which stay stuck until stalled savings or the balance sheet force the decision. Both can be mapped from public disclosure during this planning cycle, so companies that do that work now come to market on their own terms while the rest come when a covenant sets the date. Our latest piece from Corporate Transactions Group Managing Director Ross Stallings and Senior Director, Brett Clarke lays out each of the two windows, when it opens and closes, how to read it against your own portfolio, and the four questions worth answering before this planning cycle closes. #ECommerce #DigitalCommerce #CustomerExperience #AICommerce #ProfitabilityStrategy

Bringing enough critical minerals online will take a lot of capital, and the miners best placed to supply it have limited room to spend. Our analysis of the 50 largest Western miners found that only 11 can fund a project costing US$5 billion or more from their own balance sheets. We then look at how operators allocate capital today, and what risks investors must come to terms with in doing so. Steven Lepine, Helder Santos, Donald Gardner, Fariza Makhayeva and Thiago Gandra, PMP look at what this means for operators and set out three priorities: getting to scale with new partners, aligning capital allocation with shareholders, and building the capability to move projects faster.
