For the first time, the U.S. Department of the Treasury has penalized a company for violating outbound investment rules and the triggering transaction was just $92,478. In this client alert, Special Counsel Sam Bean and Partner Kripa Upadhyay break down Treasury’s first enforcement action under the Outbound Investment Security Program: a $200,000 penalty against Amidi, LLC, whose Chinese subsidiary invested in an embodied-AI company without the required filing. For investors with foreign subsidiaries or funds active in China, the message is clear, the rules reach U.S. parents, no deal is too small, and penalties can reach twice the transaction amount. A patent claim can be perfectly clear in scope and still be invalid. That distinction can decide a patent’s fate in litigation. In Satius Holding v. Samsung Electronics, a precedential decision issued October 1, the Federal Circuit found that broadening a claim with a single word, “or,” introduced a scientifically impossible alternative. The claim was definite, but invalid for lack of enablement. In a recent client alert, Partner Madhumita Datta and Associate Kaelyn Shinbashi break down the ruling and what it means for patent owners relying on broad claims. When everyone can source from the same factories, differentiation and margins disappear fast. Sourcing is no longer the advantage it once was. In a recent publication, Partner Jonathon Talcott examines how product companies can escape the commodity trap, shifting from simply sourcing products to creating them, and protecting those innovations through intellectual property. Drawing on the firm’s work with client MakerFlo, he explains why a patent is a business asset, not a trophy. Read more: https://bit.ly/3TYZxTQ #Buchalter

The U.S. Department of the Treasury has issued its first-ever penalty under the Outbound Investment Security Program, reaching a U.S. parent company for an investment made by its foreign subsidiary. In a recent client alert, Special Counsel Sam Bean and Partner Kripa Upadhyay break down the $200,000 penalty and what it signals for U.S. investors with foreign funds active in China: that no transaction is too small to draw scrutiny, and parents are on the hook for the entities they control. Washington has joined California, Illinois, and Oregon in requiring employers to notify workers when they receive a federal I-9 Notice of Inspection (NOI). Effective October 1, Washington employers must provide notice within five business days. For employers operating across multiple states, navigating different deadlines, notification requirements, and penalties adds another layer of complexity. In this client alert, Partner Kripa Upadhyay breaks down each state's requirements, including Oregon's three-business-day deadline, California and Illinois's 72-hour deadlines, and Washington's new rule. The alert also outlines how employers can establish a consistent response protocol to meet these varying requirements, starting with a 72-hour notification timeline.
