IP Bytes Unlock IP Value: Make the Case to Your Lender To unlock value from your IP with a lender, your IP has to work a little harder to convince them. Why? One, because they can’t value it themselves, because they have little or no experience of IP valuation. Secondly, they still struggle with IP as collateral, so you need to make clear to them what’s registered IP versus non-registered IP, where that IP has been perfected and title is clear, in order for them to take the risk seriously. And one of the biggest hurdles is that few lenders have seen IP value recovered on default. So, you need to educate them. All of this and more is in the recording. The full recording, case studies and summaries are available in the IP Academy, exclusively for IPRSCORE companies. Your IP Has A Score. 5 in 30. 53%. 45% - What our latest IPRSCORE data shows We looked back at the last 30 IPRSCORE companies. Here are some patterns that emerged. → Trade Secrets: only 5 companies had a formal Trade Secret policy in place. Most companies know what their trade secrets are, but few have put that knowledge into a documented policy. Why it matters: A documented TS policy provides valuable protection and builds IP awareness intentionally - a strong marker that protects sensitive, proprietary information and critical business knowledge from unauthorized disclosure or misuse. → Brand: 53% were fully protected by registered trademarks for both corporate and product/service brands. 14 companies left product or corporate brands unregistered, open to competitors freely using and filing similar names, with only weak, costly-to-prove unregistered rights to fall back on. Why it matters: Registered trademarks convert brand equity into collateral lenders recognize and can secure formally. → Patents: 45% of patent-scored companies have a formal invention disclosure process. Most patent-active companies have no system to capture and consistently assess new invention ideas. Why it matters: An invention disclosure process turns ad hoc R&D into a repeatable, protectable pipeline, syncing with trade secrets. None of these are expensive to fix. Left unaddressed, they create gaps in protection, management and strategy that can slow scale-up, complicate hand-off and even restrict commercialization in some territories. How many of your portfolio companies have a Trade Secret policy, registered TMs for all financially material brands or an invention disclosure process? #IPRSCORE #IntellectualProperty #TradeSecrets #Trademarks #Patents #IPData

IP Bytes Multi-Territory IP Opens Up Monetization Options If you have multi-territory registered IP, it creates the potential for exploitation via monetization routes through licensing, sale of the IP in those territories, or both. I’ve seen situations where we’ve valued IP in a downside scenario for a lender and PE, then sold the IP bundles in insolvency. We carved up trademarks and other IP assets and sold them by country, particularly in franchise and licensing scenarios which were already part of the business model. Recognizing that potential recovery value and presenting it to a lender and advisors is really important. We worked on the sale of a fashion brand in distress, and what was critical was that some of the countries it operated in were exclusively under license, and those countries had generated significant royalty revenues for the business. In the bankruptcy sale that was of real interest to buyers beyond the retail operation, despite the fact it had been downsizing in other countries that were owner-operated. Having that licensing track record, and knowing and being close to the licensee, can also be valuable and could influence value recovery and influence lenders considering a "stretch" against the IP assets. • Not all patents are created equal, and lenders, investors and acquirers know it. Thanks to everyone who joined our third IPRSCORE webinar with Stephen Robertson. Three takeaways worth sharing: → Patent count alone tells you very little about value or collateral strength → Third-party citation velocity, claims that hold firm through prosecution, and maintenance across key commercial territories all point to a stronger patent → Licensing and litigation history, assignee filing behavior, and whether claims are practiced are what diligence picks up next The full recording, case studies and takeaways are available in the IP Academy, exclusively for IPRSCORE companies. More IP taster sessions coming soon. Score your IP. Signal your value. #iprscore #intellectualproperty #secureyouriprscore

Yesterday, we hosted our third IPRSCORE Webinar: Not All Patents Are Created Equal. The IPRSCORE™ Proves It. We covered: → Why patent count alone is a flawed proxy for patent value in financing, M&A and licensing → The quantitative signals that separate strong patents from weak ones: incl. citation analysis, claim narrowing during prosecution, family size and remaining term → The qualitative signals diligence picks up: incl. licensing and litigation history, assignee filing behavior, and whether claims are actually practiced One example we walked through: two patents that look identical on paper, same filing date, field, and number of claims. Patent A is mostly self-cited, was heavily narrowed during prosecution, and lapsed at second renewal in key territories. Patent B has strong third-party citation velocity, independent claims that held firm through prosecution, and is maintained across relevant commercial geographies. A headline patent count treats them as equal. The IPRSCORE surfaces the difference. It's one of several examples we walked through, alongside an IPRSCORE™ company that used citation analysis to decide which non-core markets to license into, and which single market to focus commercialization on. A patent count tells you how many. The IPRSCORE™ tells you whether any of them matter. IPRSCORE companies get the full library of content and detailed case studies and takeaways in our IP Academy on the platform. If patents are your primary collateral or competitive moat, this one's worth a look. More IP taster sessions coming soon. Stay tuned. #iprscore #intellectualproperty #secureyouriprscore

Food for thought for patent-rich companies, including IPRSCORE companies, that the small guy can find shoulders to stand on, to compete with giants! We will touch on this in a future IPRSCORE webinar.

Another win for litigation finance. As things stand, this is the largest-ever award made by a jury in a US patent case. The plaintiff, Taction Technology, received backing from entities associated with Burford Capital. As far as I can tell, Taction is a small, San Diego-based start-up that develops and sells haptics headsets. It originally filed its suit against Apple in 2021. Presumably, this was preceded by at least a year or two of back and forth negotiations. The resource mismatch between Apple and Taction is beyond vast. Financially, the companies operate in entirely different galaxies. Without Burford's monetary help and expertise, there is simply no way Taction could have pursued this litigation. It would have been buried within months. Now, it has a fighting chance of some kind of payday. Will that $5.7 billion stand? Almost certainly not. Will Taction get most of what, if anything, Apple does hand over? Unlikely. Will Taction care? Why should it? It will get enough, plus the calling card it needs to get licensing income from other companies, as well as a shot at selling its own products on something resembling a level playing field. Even if the whole case is dismissed, Taction will still be alive to fight another day. There may be issues with litigation finance but, ultimately, in the US at least, it is just about the only game in town for patent-owning Davids facing off against infringing Goliaths. No wonder so many lobbying dollars are spent on trying to take it down. https://lnkd.in/e8fncCng

IP Bytes - Borrowers and lenders can't afford to ignore registered IP.   In this clip from our last IPRSCORE webinar, I explain why registered IP matters in the UK at least. In a distress scenario, where exactly a lender ranks, against other creditors, is everything.   In the UK, registered trademarks, patents and designs can be used as fixed security, which ranks ahead of HMRC's preferential claim over floating charge holders. If lenders record the charge at Companies House and the UKIPO, their interest is on public record and they are in stronger position. The C-Suite ought to take advantage of this.   But many businesses rely on brands they've never registered. Unregistered IP is hard to charge, value or enforce, and harder to sell in a downside scenario and lenders know this.   My advice to the C-Suite is register all key trademarks, corporate and product & service marks and secure the domains and social media accounts that go with them.   Properly registered IP is stronger and more valuable collateral and puts lenders in a better position when it matters most. Borrowers can use their IP strength, their IPRSCORE and this knowledge, to their advantage in lender negotiations around LTVs, interest margins and covenants. This matters more in lending discussions, where the strength and value of the IP can reduce or even remove the need for a personal guarantee from founder(s).   #IPFinance #Lending #Trademarks #Patents #Insolvency

IP Bytes - Lenders vs Investors vs the C-Suite - not all IP is created Equal in their eyes!   In this clip from our recent IPRSCORE webinar, I touch on a few key factors which can positively influence both the current IP valuation and ultimately the recovery value of IP in a downside sale scenario.   These factors should register with investors, valuers and lenders, both as part of their credit process and incorporated into their LTV calculations.   I outlined 6 key factors:   1. genuinely hard-to-recreate IP, 2. required market-entry IP, 3. IP consolidated in one entity, 4. high-value customer data, 5. strong brand positioning, and 6. multi-territory IP registrations.   I use a retail case study to show exactly how this plays out when recovery value is on the line.   If your IP checks some of these boxes, it should be more valuable in the eyes of investors, more appealing to a lender as security / collateral and easier to sell in a downside scenario.   The full recording, case studies and summaries are available in the IP Academy, exclusively for IPRSCORE companies.   🎥 I walk through three of the six key factors in the clip below.   Your IP Has A Score.
