The highest bidder isn’t always the right answer. When it comes time to sell or transition your practice, price matters. But so do the things that made the business valuable in the first place. What happens to your clients? What happens to your employees? How will the new owner operate the business? And what role, if any, do you want after the transaction? I’ve been involved in enough transactions over the years to know that a great succession plan isn’t just about getting the highest multiple. It’s about understanding your options and finding the right fit for the business, your clients, your team — and for you. Don’t wait until you’re ready to sell to start thinking about those questions. #FinancialAdvisors #SuccessionPlanning #IndependentAdvisors Osaic Malcolm Thomas Amy Heapps, MSM Innovative Financial Group, LLC Innovative Wealth Team

A successful succession plan is about more than valuation. Brian shares why understanding the people, culture and transition behind the offer can be just as important as the number.

𝗬𝗼𝘂𝗿 𝗯𝘂𝘀𝗶𝗻𝗲𝘀𝘀 𝗺𝗶𝗴𝗵𝘁 𝗯𝗲 𝘄𝗼𝗿𝘁𝗵 𝗺𝗼𝗿𝗲 𝘁𝗵𝗮𝗻 𝘆𝗼𝘂 𝘁𝗵𝗶𝗻𝗸. Many owners spend years solving problems, keeping clients loyal, and building steady operations, then still hesitate to ask what the business is actually worth. They treat valuation like a number that can wait. But is staying uncertain really more important than protecting the value of everything you built? If you do not understand what buyers would pay, you risk pricing your hard work too low, waiting too long, or making decisions based on guesswork instead of facts. Knowing your value is not ego. It is strategy. Before making your next major business decision, take a moment to understand how prepared you are for a future sale. ⚖️ THE VALUATION TRAP THAT DESTROYS BUSINESS PARTNERSHIPS AFTER A DEATH. Business partner dies. The surviving partner and the deceased's family agree on one thing: the estate needs to be bought out. Then comes the question: how much is the business WORTH? Without a predetermined valuation formula in a Buy-Sell Agreement: → Surviving partner says: '$800,000' → Estate says: '$2.1 million' → Both hire valuation experts and attorneys → Legal battles begin while the business stagnates → Client relationships deteriorate during uncertainty → Key employees leave → The business is worth FAR LESS by the time courts resolve it A Buy-Sell Agreement locks in the valuation METHODOLOGY before anyone dies. Clear formula. No arguments. The payout happens quickly, cleanly, and fairly. This is why businesses with buy-sell agreements survive ownership transitions — and businesses without them often don't. 👉 Let's lock in YOUR valuation formula before a crisis forces the issue. 📞 Book your FREE Business Protection Review: https://lnkd.in/gaNEJXyF #BuySellAgreement #BusinessValuation #SmallBusiness #BusinessOwner #SuccessionPlanning #ACCLifeAdventures

A succession plan is not just a document. It is a mechanism for what happens when ownership has to change. In the example discussed, the business succession deed already set out the formula, procedure and time frames for a buy-sell process. That matters because succession events can create tension between two legitimate interests. A surviving family member may want certainty that their interest can be sold. At the same time, the continuing owner may not want to find themselves in business with someone they never chose as a partner. A properly structured succession arrangement can give both sides a defined process and a way to trigger the agreed outcome. The strategic point is that these mechanics are best considered while relationships are stable and everyone has time to agree on value, process and timing. Waiting until a death, dispute, incapacity or exit event occurs can leave far fewer options. For business owners, valuation is a critical part of that preparation. Knowing how the business will be valued, and how ownership may transfer, can reduce uncertainty when the plan has to be used. Considering succession, a business sale or a valuation? Benchmark Business Sales & Valuations can work alongside your legal and accounting advisors to help you understand value and plan the transfer with greater clarity. An equal ownership structure can feel simple when business partners are on the same page. The real test comes when they are not. A major hire. A new location. Taking on debt. Selling the company. Bringing in another investor. If owners have equal authority and no one is willing to move, an important business decision can quickly become a stalemate. That is why business owners should think beyond ownership percentages and consider how decisions will actually be made. Who has authority over day-to-day operations? Which decisions require unanimous approval? What happens when the owners reach a deadlock? Those questions can feel unnecessary when the relationship is strong. But clear rules are often most valuable when circumstances change. Good planning does not assume business partners will disagree. It gives them a path forward if they do. #LegalforBusinessandLife #GoosmannLaw #Worthit #StrategicCounsel

𝐓𝐇𝐄 𝐌𝐎𝐒𝐓 𝐄𝐗𝐏𝐄𝐍𝐒𝐈𝐕𝐄 𝐓𝐈𝐌𝐄 𝐓𝐎 𝐒𝐓𝐀𝐑𝐓 𝐄𝐗𝐈𝐓 𝐏𝐋𝐀𝐍𝐍𝐈𝐍𝐆 The most expensive time to start thinking about your exit… …is when somebody offers to buy your business. At that point, the clock has started. The buyer has advisers. The buyer has a process. The buyer knows what information they want. The buyer understands transaction structures. And suddenly the founder is learning M&A while simultaneously negotiating the most important financial transaction of their life. That is an extraordinary information asymmetry. A better approach is to establish readiness before there is a buyer in the room. Understand: • what the business is worth • what drives that value • what a buyer will challenge • where founder dependency exists • what needs to be documented • what should be fixed • what your personal financial number actually is • what ownership structures are possible • and what you want life after the business to look like Then an approach from a buyer becomes an opportunity to evaluate. Not an event that controls you. That is part of the work of the Private Strategic Office™. Never let somebody else’s acquisition timetable become your succession strategy.
