Investor confidence should be built on facts, not manufactured urgency. Two recent SEC enforcement actions highlight the importance of accurate disclosures in private-market investing. The SEC alleges that investors were misled through artificial scarcity, misleading pricing claims, and inflated revenue and customer figures. While these cases involve allegations, they reinforce an important principle: Transparency and accountability are essential to investor protection. As a registered broker-dealer, ICON Capital Group emphasizes regulatory compliance, appropriate due diligence, and accurate offering-related communications. Claims about offering availability, pricing, and company performance should be supported by verifiable information, not pressure tactics or exaggerated projections. For issuers, credibility matters. For investors, reliable information supports informed decision-making. At ICON, responsible capital formation begins with transparency. For additional context, see the SEC enforcement announcements linked in the first comment. #ICONCapitalGroup #InvestorProtection #PrivateMarkets #CapitalFormation #BrokerDealer

It is wonderful to be with so many friends and colleagues at the #PRIinPerson conference today in Amsterdam hosted by the Principles for Responsible Investment! One highlight for me was Ceres, Inc. CEO Mindy Lubber speaking about protecting shareholder rights to file proposals with companies. Mindy pointed out that last month the U.S. Securities and Exchange Commission (SEC) proposed rescinding the main federal rule governing shareholder proposals –– Rule 14a-8. Investors and companies have used this important rule for many decades to prompt meaningful engagement and dialogue on a range of business issues. The SEC says it wants state laws and companies’ bylaws to control this process. This could lead to chaotic company-by-company, state-by-state approaches to shareholder proposals, and more contentious, time-consuming, and expensive shareholder engagements. Mindy encouraged investors worldwide and everyone concerned about this attack on shareholder rights to submit a comment letter to the SEC. The SEC comment deadline is November 20, 2026. A digital record may show who holds an asset. But ownership also depends on whether the rights behind that record are clearly defined, legally recognized and enforceable. Digital ownership begins with legal clarity. #DigitalAssets #Regulation #Shipex

Excited for how we can continue to scale Habodel Capital in a sector that offers a huge opportunity, with the ownership and management of existing housing stock largely uninstutionalised and the increasing challenges people face in securing a home to rent at affordable levels. We focus on acquiring and improving existing homes and providing high quality professional management as a socially responsible landlord. Revcap’s experience and expertise in creating and developing operational platforms within real estate is something we are very proud of and we are looking forward to partnering with the Habodel team (Theresa Spencer , Steve Gardner ) to grow as a leading investor and operator in the UK residential sector. Pro-rata rights let an existing investor maintain their ownership percentage by buying their proportional share of every future round, at the same price and terms as new investors. That sounds reasonable on paper. In practice, every investor with pro-rata sitting on your cap table has a claim on the next round before a new investor ever sees the deal. The founders who negotiate this well don't refuse pro-rata outright. They time-bound it, usually to one or two rounds instead of forever, and they're upfront with early investors about whether there's actually room for them to exercise it later. Read this clause as carefully as you read the valuation.
